Terms of Service

By creating an account or using Apixor, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms on behalf of yourself or your organization, and agree to comply with all applicable laws.

Apixor is a third-party API monitoring and alerting platform. The Service allows you to connect your SaaS integrations (such as Stripe, Salesforce, and HubSpot) via OAuth, monitors those integrations for latency anomalies and errors, and sends alerts when issues are detected.

The Service is provided on a subscription basis according to the plan you select. Feature availability varies by plan as described on our pricing page.

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@apixor.com if you suspect unauthorized access to your account.

You may not share your account with others or create accounts for any purpose other than legitimate use of the Service.

Paid plans are billed monthly in advance via Stripe. By providing payment information, you authorize us to charge the applicable fees.

• Upgrades take effect immediately and are prorated for the remainder of the billing cycle.
• Downgrades take effect at the end of the current billing period.
• Cancellations take effect at the end of the current billing period. We do not provide refunds for partial months.
• Free plan users may use the Service indefinitely subject to the feature limits of the Free plan.

We reserve the right to change our pricing with 30 days' notice provided via email or in-app notification.

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Monitor integrations you do not have authorization to access.
• Attempt to reverse engineer, decompile, or extract source code from the Service.
• Introduce malware, viruses, or other malicious code.
• Probe, scan, or test the vulnerability of the Service or related systems.
• Resell or sublicense access to the Service without our written consent.
• Use the Service in a manner that places unreasonable load on our infrastructure.

You retain ownership of all data you submit to the Service, including monitoring data and OAuth credentials. By using the Service, you grant us a limited license to store, process, and use your data solely for the purpose of providing and improving the Service.

We implement row-level data isolation so that your data is never accessible to other customers. See our Privacy Policy for full details on how we handle your data.

The Service connects to third-party APIs on your behalf using OAuth access you grant. You are responsible for ensuring you have the right to authorize these connections. We are not affiliated with, endorsed by, or responsible for the third-party services you connect (e.g., Stripe, Salesforce, HubSpot).

Third-party services are subject to their own terms of service and privacy policies, which we encourage you to review.

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform maintenance that temporarily affects availability and will provide advance notice where practical.

Apixor is a monitoring tool — it does not guarantee the uptime or performance of the third-party APIs you connect. We are not liable for failures of third-party services you monitor.

All rights, title, and interest in and to the Service — including all software, designs, trademarks, and content — are owned by Invoir Inc.. Nothing in these Terms transfers any intellectual property rights to you.

The Apixor name, logo, and related marks are trademarks of Invoir Inc.. You may not use them without our prior written consent.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, INVOIR INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INVOIR INC. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).

You agree to indemnify, defend, and hold harmless Invoir Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. You may cancel your account at any time from your account settings.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive, including intellectual property, disclaimer of warranties, limitation of liability, and governing law.

These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles.

Any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Texas, and you consent to personal jurisdiction in those courts.

We may modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or in-app notification. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
